I would like to clone an existing potal 6.2 EE installation to a disaser virtual machine.
We cloned the virtual machne and we aquited some license. Do we have to change any property files on the
disaster virtual machine such as hostname,IP etc?

You're basically asking "How to restore from backup", which - given that you're on 6.2 - you should long have demonstrated to make sure that your backups are worth their money.
In general: Look at your configuration - any changes that you need to do, specifically so that the new machine serves your traffic, depend a lot on your own situation.
You'll need to restore:
- the application server
- the database backup
- Document Library filesystem (in case you store doclib in the filesystem, otherwise: whereever you store it)
- any code deployed
- the full-text index (alternatively: Execute "reindex all" upon startup)
And, of course, any DNS-settings, network routing etc - that would be environment-dependent.
